Order Acceptance

By submission of a Purchase Order (“PO”) and receipt of a sales order confirmation and invoice from QTONICS LLC, the Buyer agrees that all sales, shipments, and services are governed exclusively by QTONICS LLC Terms & Conditions. Any conflicting terms proposed by the Buyer are rejected unless expressly accepted in writing by an authorized QTONICS LLC representative.

Pricing & Product Availability

QTONICS LLC reserves the right to change prices to reflect changes in the market environment and to supply products at prices applicable at the date of shipment. If pricing changes after the customer places an order, QTONICS LLC will provide a price change notification prior to shipment.

The customer must notify QTONICS LLC in writing within five (5) business days from receipt of the sales order confirmation or pricing notification if the revised pricing is not accepted. In such cases, QTONICS LLC reserves the right to cancel the order or any portion thereof.

All quotations are valid for thirty (30) days unless otherwise indicated. Errors in pricing, product descriptions, or quoted lead times may be corrected prior to shipment. All prices are exclusive of taxes, duties, and freight charges unless otherwise stated.

QTONICS LLC reserves the right to apply freight charges on all deliveries unless otherwise indicated. General public pricing is available on the QTONICS LLC website. Customers seeking specific pricing are encouraged to log in to their account or contact QTONICS LLC directly.

Product Use & Compliance

Products sold by QTONICS LLC are intended for research use only and are not for clinical or diagnostic use unless expressly stated otherwise. The Buyer is responsible for ensuring compliance with all applicable federal, state, and local regulations, including FDA, CLIA, CDC, and OSHA requirements.

Returns

All returns must be authorized in advance before any credit is issued. For completed orders, a restocking fee may apply. All returns are subject to QTONICS LLC’s return policy. Complete warranty terms and conditions are provided by the specific manufacturer.

Changes, Cancellations & Backorders

Any changes or cancellations to an order require written authorization from QTONICS LLC. Backorders will be fulfilled as product becomes available unless the Buyer requests cancellation in writing and QTONICS LLC approves the request.

Shipping Terms & Risk of Loss

Unless otherwise agreed to in writing, all shipments are FOB Origin. Risk of loss transfers to the Buyer once merchandise is delivered to the carrier. QTONICS LLC is not responsible for transit delays, carrier errors, or events beyond its control, including weather or supply chain disruptions.

Shipping Damage or Discrepancies

All packages should be thoroughly inspected upon receipt. Any freight-related damage should be documented with photographs. Claims for visible or concealed damage must be filed directly with the carrier or manufacturer. Any shortages, discrepancies, or order issues must be reported to QTONICS LLC within three (3) business days of receipt.

Products Warranty Disclaimer

QTONICS LLC is primarily a distributor and does not manufacture all products sold. All warranties, technical support, and performance guarantees are provided solely by the original manufacturer, if other than QTONICS LLC. QTONICS LLC provides no additional warranties, express or implied.

Limitation of Liability

QTONICS LLC’s liability for any claim related to an order is limited to the purchase price of the affected product. QTONICS LLC shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of revenue, downtime, data, patient samples, or research material.
